General

This is a legal document setting out the Terms & Conditions upon which All Automotive Solutions Pty Ltd Trading as Tune Files (ABN 23 604 760 401) will provide services to you. Please read the terms below in full. By purchasing credits, submitting a file, placing an order, or otherwise using our services, a Contract (“Agreement”) is formed between All Automotive Solutions Pty Ltd Trading as Tune Files (ABN 23 604 760 401) (in this Agreement, “we”, “us” or “our”) and the customer (in this Agreement, “you”).

By creating an account, purchasing credits, or submitting a file to us for modification, you acknowledge that you have read, understood, and agreed to all of the following Terms & Conditions. If you do not agree, you must not use our services.

Nature of Our Service

Tune Files is a remote tuning file service. We modify engine control unit (ECU), transmission control unit (TCU), and related vehicle software files that you supply to us electronically. We do not read files from, or write files to, your vehicle. You are solely responsible for reading the original file from your vehicle and for writing any modified file we supply back to your vehicle, using your own tools and equipment.

We provide a software modification service only. We do not supply, warrant, or take responsibility for any hardware, flashing tool, cable, interface, subscription, or third-party service you use to read from or write to your vehicle.

Accounts and Credits

Our services operate on a credit system. You purchase credits, which are then applied to file orders in accordance with our current pricing.

You agree:

  • Credits are purchased in advance and are applied to your account upon payment being received and cleared.
  • Prices for credits and for individual services are set by us and may change at any time without notice. Any change does not affect credits already purchased.
  • All prices include GST (Goods and Services Tax) unless stated otherwise.
  • Credits have no cash value and cannot be exchanged, redeemed, or refunded for money.
  • You are responsible for keeping your account login details secure. You are responsible for all activity that occurs under your account.

No Money Refunds — Credits Only

All sales are final. We do not offer money refunds under any circumstances.

Because of the nature of a remote digital file service — where files are custom-modified, delivered electronically, and cannot be “returned” once supplied — the following applies:

  • No refund of money will be issued for any credit purchase, file order, or service, whether the file has been delivered or not.
  • Where we agree, at our absolute discretion, that a remedy is appropriate (for example a file that cannot be completed, a duplicate charge, or an order we are unable to fulfil), the remedy will be provided as account credit only. Credit will be applied back to your account and may be used towards future orders.
  • Credit issued as a remedy has no cash value and is not redeemable for money.
  • Unused credits are not refundable and are not transferable to another account or person unless we agree in writing.
  • Chargebacks or payment disputes raised in place of contacting us first are a breach of this Agreement. We reserve the right to suspend or close any account that initiates a chargeback and to recover any resulting costs from you.

This clause does not exclude, restrict, or modify any right or remedy you may have under the Australian Consumer Law that cannot lawfully be excluded (see Consumer Guarantees below).

Your Responsibilities

You agree and warrant that:

  • You are legally entitled to modify the vehicle and its software, and that you own the vehicle or have the owner’s authority to have the file modified.
  • The original file you supply to us is a genuine, complete, and uncorrupted read taken from the vehicle it relates to, and that you have correctly identified the vehicle, ECU/TCU type, and the read/tool used.
  • You have kept a backup of the original, unmodified file before submitting it to us and before writing any modified file to your vehicle. We are not responsible for storing or restoring your original file.
  • You have accurately described the modifications requested and the physical hardware/parts fitted to the vehicle.
  • You will test and verify any modified file we supply in a safe and controlled manner before relying on it.

We rely on the information and files you provide. We are not responsible for any outcome arising from incorrect, incomplete, corrupted, or misidentified files or information supplied by you. If a file needs to be re-worked because the information you supplied was inadequate, late, or incorrect, additional credits may be required.

Off-Road, Competition and Legal Compliance

You acknowledge and agree that:

  • Some modifications we can perform may not be legal for use on public roads and may be intended for off-road, motorsport, competition, or export use only.
  • It is your sole responsibility to ensure that any modification you request and any use of a modified file complies with all laws, regulations, emissions standards, roadworthiness requirements, and manufacturer warranty conditions applicable to you and to the location where the vehicle is used.
  • You will not represent to us, or use any file for a purpose, that is unlawful.
  • We provide files on the basis of your instructions and your representation that you are entitled to request and use them. We accept no liability for any fine, penalty, defect notice, loss of registration, insurance consequence, warranty loss, or other consequence arising from your use of a modified file.

You indemnify us against all claims, penalties, losses, and costs arising out of or in connection with your use of any file supplied by us in breach of any law or of these Terms.

Turnaround Times

Any turnaround time or delivery estimate we give is an estimate only and is not guaranteed. Turnaround times may be affected by order volume, file complexity, requests for further information, and matters beyond our reasonable control. We are not liable for any loss arising from a delay in delivery.

Payment

  • Credits must be paid for in full at the time of purchase before they are applied to your account.
  • Files and services are paid for by applying credits to the order.
  • Accepted payment methods for credits are as shown on our website or as otherwise advised by us.
  • We reserve the right to correct pricing errors and to decline or cancel any order.
  • At our complete discretion, we may apply any payment or credit received from you to any amount owing by you.

File Revisions, Support and Warranty

  • If you are not satisfied that a delivered file meets the modifications you requested, you must contact us and provide details, together with any supporting logs or read-backs we reasonably request, so that we can review it.
  • Where a delivered file does not perform the requested modification, we will review and, where appropriate, re-work or revise the file. This is your primary remedy and is provided at no additional credit cost where the fault is ours.
  • Support and revisions relate to the specific modification requested on the specific file supplied. Changes to the vehicle’s hardware, a different read, a different vehicle, or a new request are treated as a new order requiring credits.
  • We do not warrant that a modified file will achieve any specific power figure, fuel economy, or other numerical result. Results vary with vehicle condition, fuel, hardware, environment, and installation, which are outside our control.
  • We do not warrant against, and are not responsible for, faults, damage, or failures that arise from underlying mechanical, electrical, or software issues in your vehicle, from incorrect installation/flashing, from your tools or hardware, or from use of the file in a manner or for a purpose we did not agree to.

Installation and Risk

  • You are solely responsible for writing any modified file to your vehicle using suitable tools and following the correct procedure.
  • Flashing an ECU/TCU carries inherent risk, including the risk of a failed write, a corrupted or non-responsive (“bricked”) control unit, or other damage. This risk exists regardless of the file content and is outside our control.
  • To the extent permitted by law, we are not liable for any damage to, or loss of use of, any ECU, TCU, vehicle, component, or property, or for any consequential loss, arising from the installation or use of a file we supply. Installation and use of any file supplied by us is done entirely at your own risk.

Intellectual Property and Use of Files

  • Files we supply are provided to you for use on the single vehicle and for the purpose for which they were ordered.
  • You must not resell, redistribute, share, publish, sub-licence, or otherwise make available any file supplied by us, or use it to provide a competing service, without our prior written consent.
  • We retain all intellectual property rights in our solutions, methods, databases, and know-how. Nothing in this Agreement transfers any such rights to you.

Liability

  • To the maximum extent permitted by law, our total liability to you arising out of or in connection with the services or these Terms, for any and all claims, is limited to the amount of credit applied to the specific order giving rise to the claim, and at our option that liability may be discharged by issuing account credit of that amount.
  • To the maximum extent permitted by law, we exclude all liability for indirect, incidental, special, or consequential loss, including loss of profit, loss of use, downtime, towing, recovery, hire, or repair costs.
  • Nothing in these Terms excludes, restricts, or modifies any liability that cannot lawfully be excluded.

Consumer Guarantees

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms operates to exclude, restrict, or modify the application of any provision of the Australian Consumer Law, the exercise of a right conferred by it, or any liability for failure to comply with a guarantee it imposes, where to do so would contravene that law or cause any part of these Terms to be void.

Where our services fail to meet a consumer guarantee and the failure is not a major failure, we are entitled to choose between re-supplying the service or providing account credit for the cost of the service. Where the failure is a major failure, you are entitled to the remedies provided under the Australian Consumer Law.

Privacy

We will comply with all applicable privacy legislation, including the Privacy Act 1988 (Cth). Unless you indicate otherwise, you consent to us using your personal information to provide our services to you, to communicate with you about your orders and account, and for our internal marketing and customer-service activities.

Force Majeure

We do not guarantee to provide our services, in whole or in part, if we are prevented from doing so due to any circumstances beyond our reasonable control, including without limitation any strike, war, cyber-attack, terrorist attack, trade dispute, fire, flood, tempest, theft, epidemic, pandemic, failure or breakdown of hardware or software, loss of data, or disruption to electricity, internet, or any other utility or communications system.

Variation

We may amend these Terms & Conditions at any time by publishing the updated terms. The terms in force at the time you place an order apply to that order. Your continued use of our services after any change constitutes acceptance of the amended terms.

Jurisdiction

The proper law of the Agreement between you and us is the law of the State of Victoria, Australia, and the parties agree to submit to the exclusive jurisdiction of the courts of that State.
